These Terms and Conditions govern your access to and use of the websites, online services, programs, and SMS text messaging programs (collectively, the Services) provided by OM Collective LLC dba Austin Yoga Tree ("Austin Yoga Tree", "we", "us", or "our"). These Terms form a binding agreement between you and Austin Yoga Tree.
By visiting our website, creating an account, submitting any form, purchasing a service or membership, or enrolling in our SMS text messaging programs (collectively, the Programs), you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services.
 
These Terms apply only to your use of our website and Programs. They do not change any separate written agreements you may have with us, such as coaching agreements, retreat waivers, or other contracts. If a separate written agreement applies, that agreement controls in the event of any conflict.

1. Eligibility and Your Responsibilities
1.1 Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services or participate in the Programs. By using the Services, you represent that you meet this requirement.
1.2 Accurate Information
You agree to provide true, accurate, and complete information when you register for an account, join a Program, or sign up for email or text communications, and you agree to keep your information up to date.
1.3 Lawful Use
You agree not to use the Services in any way that:
Violates any applicable law or regulation
Infringes the rights of any third party
Harasses, abuses, or harms others
Attempts to interfere with or disrupt the Services
We may suspend or terminate your access to the Services if we reasonably believe you are violating these Terms.

2. Email Communications
By providing your email address through our website or Programs, you consent to receive emails from Austin Yoga Tree related to:
Program information and updates
Event invitations and reminders
Educational content and resources
Offers and promotions
You may unsubscribe from marketing emails at any time by clicking the unsubscribe link included in the emails or by contacting us at [insert support email]. Even if you unsubscribe from marketing emails, we may continue to send transactional or administrative emails related to your account or participation in a Program.
Email communications are subject to our Privacy Policy, which describes how we collect, use, share, and protect your information.

3. SMS Text Messaging Programs
We may provide one or more SMS text messaging programs (Text Programs) to communicate with you regarding:
Scheduling and reminders
Account or membership updates
Events, workshops, and promotions
Educational content
Other communications related to Austin Yoga Tree
3.1 Enrollment and Consent
By providing your mobile number and opting in, such as by submitting a website form, checking a sign up box, or replying to an opt in message, you consent to receive SMS and MMS messages from Austin Yoga Tree at the number you provide. Message frequency varies. Your consent is not required to purchase any product or service.
3.2 Costs and Carriers
Standard message and data rates may apply. You are responsible for any fees charged by your carrier. Carriers are not responsible for delayed or undelivered messages.
3.3 Opt Out
You may opt out at any time by replying STOP to any message from us. You may receive a final confirmation message. Opting out ends messages related to that specific Text Program. You may continue to receive other non text communications.
3.4 Help
For help with Text Programs, reply HELP to any message or contact us at [insert support email].
3.5 Your Duties
You represent that you are the owner or authorized user of the mobile number you provide. You agree to notify us promptly if your number changes or is no longer under your control.
We may modify or discontinue any Text Program at any time, with or without notice, as permitted by law.

4. Payments, Billing, and Refunds
Payment processing for all purchases is handled by third party payment processors. We do not store your complete credit card information.
Refunds, cancellations, and rescheduling are governed by our separate Refund Policy posted on our website. By making a purchase, you agree to that Refund Policy. If any conflict exists between these Terms and the Refund Policy, the Refund Policy controls for payment matters.

5. Privacy and Data Handling
Your use of the Services is governed by our Privacy Policy. The Privacy Policy describes how we collect, use, share, and protect your information. We may share necessary information with service providers such as SMS platforms, CRM tools, and technology partners solely to deliver the Services or as required by law.
We do not sell your mobile number, consent records, or related personal data.

6. Intellectual Property
All content made available through the Services, including text, graphics, logos, photographs, audio, video, training materials, and software, is owned by or licensed to Austin Yoga Tree and is protected by intellectual property laws.
You may access and download reasonable portions of the content solely for personal and non commercial use related to the Services. You may not reproduce, distribute, modify, publish, license, create derivative works, publicly display, or exploit any part of the Services without our prior written permission.

7. User Content and Testimonials
If you submit feedback, comments, testimonials, or other content, you grant us a non exclusive, royalty free, worldwide license to use, display, reproduce, and distribute the content in connection with the Services, including for marketing and educational purposes. You represent that you have the right to grant this license.
Testimonials reflect the experience of specific individuals. Results vary for each person and are not guaranteed.

8. Recordings and Group Programs
We may record virtual sessions or group Programs for educational, internal training, or participant access. By joining a recorded session, you consent to audio and video recording. If you do not wish to be recorded, contact us before participating so we can discuss alternatives.

9. Health, Wellness, and No Medical Advice
Our Programs include education related to emotional well being, mindfulness, personal development, and yoga. This information is for educational purposes only. It is not medical, psychological, psychiatric, legal, or financial advice. Austin Yoga Tree is not a medical provider unless expressly stated for an individual practitioner.
Consult a physician, therapist, or qualified health provider before making any changes related to your health or mental well being. Participation is voluntary and at your own risk.
If you experience a crisis or significant distress, contact local emergency services or a crisis hotline immediately.
We do not guarantee any specific personal transformation, emotional outcome, or wellness result.

10. Disclaimers of Warranties
To the fullest extent allowed by law, the Services are provided on an as is and as available basis. We disclaim all implied warranties of merchantability, fitness for a particular purpose, non infringement, and any warranties arising from course of dealing.
We do not warrant that the Services will be uninterrupted, secure, or error free, that content will always be accurate, or that text messages will be delivered without delay. Third party platforms used to support the Services may have their own terms and conditions which apply to your use.

11. Limitation of Liability
To the maximum extent allowed by law:
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or personal injury, arising out of or related to your use of the Services, even if advised of the possibility of such damages.
Our total liability for any claim related to the Services will not exceed the greater of: (a) the amount you paid to us in the three months before the claim arose, or (b) one hundred United States dollars.
In jurisdictions that do not allow certain limitations, our liability will be limited to the maximum extent allowed.

12. Indemnification
You agree to indemnify and hold harmless Austin Yoga Tree, its owners, employees, coaches, agents, affiliates, and service providers from any claims, damages, losses, liabilities, and expenses, including legal fees, arising out of or related to:
Your use or misuse of the Services
Your violation of these Terms
Your violation of law or third party rights

13. Changes to the Services or Terms
We may update the Services and these Terms from time to time. Changes become effective when posted with a new Last Updated date. Your continued use of the Services after changes become effective means you accept the revised Terms.

14. Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by the laws of the state of Texas, without regard to conflict of law rules.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of the Services, including the formation, performance, or breach of these Terms, will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
By agreeing to these Terms, you and Austin Yoga Tree waive any right to a jury trial or to participate in a class action or representative proceeding. The arbitrator’s decision will be final and binding, and judgment may be entered in any court having jurisdiction.
Arbitration will take place in Austin, Texas, unless you and Austin Yoga Tree mutually agree to a different location or to conduct the arbitration remotely.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
